A seller who is required to deliver a public offering statement to the buyer will face penalties prescribed by the Act if the seller fails to provide a public offering statement.

A public offering statement is required by any declarant or person who is in the business of selling real estate when that declarant or person offers a unit for sale on his own account to a purchaser of a condominium unit.
A public offering statement is not required in the following instances: i. if the condominium contains 12 units or less, is not subject to further development rights, and the declarant has owned the units for more than 2 years from date of first sale; and ii. nonresidential projects where all of the units are nonresidential or in residential projects where waived by agreement; and in the following instances: disposition or transfer by gift; court order; by a government agency; foreclosure or in lieu of foreclosure; disposition or transfer to a person in the business of real estate who intends to resell the unit; and when the purchase and sales agreement may be cancelled without penalty by the buyer.

A resale certificate is prepared by the association upon the request of a unit owner who is selling his or her unit. The resale certificate contains important information and must be drafted in accordance with the Rhode Island Condominium Act.
A resale certificate is required for all sales when a public offering statement is not required. However a resale certificate is not required if a public offering statement is exempt as explained in the previous question.

Japan's May Factory Output Down 3.1 Percent
TOKYO (AP) ? Japan's factory output declined 3.1 percent in May from the previous month as the world's third biggest economy grapples with weaker European demand and an uneven recovery from last year's tsunami disaster.
It was the second consecutive month of decline in?industrial?production, the economy ministry said Friday. It said worsening sectors included autos, chemicals and general machinery. But the ministry expects production to recover in coming months as output picks up in electronic parts and devices, machinery and electrical products. Other data showed the unemployment rate fell in May.
Disaster-struck Japan's economic outlook continues to be murky. The economy expanded at a rapid clip in the first quarter, helped by spending on disaster reconstruction, but is unlikely to maintain that pace over the rest of the year.
The earthquake, tsunami and nuclear disasters in northeastern Japan in March last year destroyed coastlines, disrupted manufacturing and displaced people in evacuations due to leaking radiation. Analysts say the recovery will continue but faces headwinds from the European debt crisis and ebbing U.S. growth.
Some companies such as Toyota Motor Corp. and Nissan Motor Co. have bounced back. But Japan still faces enormous challenges from a strong yen and rising competitors in South Korea, China, Taiwan and elsewhere. Major electronics makers Sony Corp. and Panasonic Corp. reported the worst losses ever for the business year ended in March.
Separately, Ministry of Internal Affairs and Communications data showed jobless people totaled 2.97 million people in May, some 170,000 fewer than the same month the previous year. The unemployment rate declined 0.2 percentage points from April to 4.4 percent. Manufacturing, transportation, medical and welfare sectors all gained jobs.
Japan's core consumer price index, which excludes fresh food but includes energy prices, slipped 0.1 percent in May from a year earlier, according to the ministry.

Nobody puts the British One Direction in a corner! The boy band's boss, Simon Cowell, is countersuing the American band that filed a suit against the chart-topping Brits back in April.
According to E! News, Cowell is firing back at the U.S. band who sued his band, alleging that they have "continuously and consistently been utilizing the ONE DIRECTION Mark since ODUK made its public debut on the popular British television program 'The X Factor' in the fall of 2010." The U.S. 1D cites that they formed and named themselves One Direction back in 2009, 12 months before the boy band made their debut on the singing competition show. Cowell filed his countersuit on Thursday.
The American band adds they had already filed a trademark for the name when the U.K. band began making the rounds. They have sued Cowell and his label, SyCo, for $1 million in damages. Cowell's team fired back: "[U.S. One Direction] is guilty of fraud, oppression or malice, and by reason thereof, [U.K. One Direction] are, in addition to their actual damages, entitled to recover punitive damages." Their suit furthers that the U.K. 1D has found "unprecedented success and fame in the United States" and "became the first U.K. musical act to have a debut album enter the U.S. Billboard chart at No.1."
According to The Hollywood Reporter, Cowell and his team claim that the U.S. band knew about his band when they formed, noting that they should check their timeline again. "For example, reference was made to ODUK on Nov. 28, 2010, in postings on the 'OneDirectionUSA' Facebook page (established by Third Party Defendants after the creation of ODUK's own, highly popular Facebook page)," Cowell's suit notes.
The U.S. band's attorney, Peter Ross, spoke to THR, adding, "It looks like we got defendants' attention. This is the response we expected, given who we're up against. An effort is being made to intimidate these young men from California. Our clients believe in their case and will not be deterred."
Shortly after the first suit was filed against ODUK, fans began to weigh in with name suggestions for the floppy-haired fivesome. Such cheeky names as FU1 Direction and 5 UK White Boys made the final cut, per fans.

A general rule of thumb when working with it, is check, double-check, and triple-check whatever you post! The system immortalizes what you write, in a way, so writing things in another word processor before inputting the text can save you some heartache down the road.

Ancient Greater Syria History
At one time in history, Syria (also known as Greater Syria) covered a much larger area geographically than it does today. In ancient times, Greater Syria encompassed the modern day country, as well as Israel, parts of Jordan, Kurdistan, Israel, and Palestinian territories. It connected three continents as a crossroads of the Caspian Sea, the Indian Ocean, the Black Sea, and the Nile River.
Trade and Transformations in Greater Syria
Due to its prime location among growing cultures and economies, it was a busy portal for trade and dealings for the Mesopotamians, Egyptians, Anatolians, and Aegeans. Much of this trade activity was controlled by the city of Elba, an ancient Syrian kingdom in the mountains.
Greater Syria was in a vulnerable position throughout most of its history, since it was between the Arabian Desert and the Mediterranean Sea. This is most evident during its conquer by the Romans in 64 B.C. when the Greek and Seleucid rules were replaced by Rome?s emperors. During the transition, the land was divided into 2 main provinces called Syria Prima and Syria Secunda, with further divisions within each province.
Syria was influenced by the Romans who invaded the area in its early history, and it also benefited from numerous other people and cultures who found their way to the land. Important cities were built and cultures transformed with the blending of immigrants and native people. These migrating groups included the Arameans, Akkadians, Amorites, Phoenicians, and Canaanites.
Important Cities in Ancient Syria History
While there are several cities that made Syrian history, including Hamah, Homs, Palmyra, and others, there are three that stand out the most.
Antioch: This was the capital of Syria Prima after the Romans invaded and divided Greater Syria into two sections. It was founded by Alexander?s general Nicator. Lying along the Orontes River, it was a central location for imports and exports.
Aleppo: As one of the oldest cities in the world that has been continuously occupied, Aleppo was the major city of Syria Prima. It was a place for caravans to stop when they were traveling to Baghdad and other cities at a faraway distance. Christianity had roots here during the Byzantine Empire.
Damascus: Being the capital of Phoenicia Secunda, one of the divisions of Syria Secunda, Damascus was a large and thriving city. It is competing with Aleppo as one of the oldest cities to be occupied continuously throughout history. Damascus was home to a large arms manufacturing center for war, which was established by Diocletian.

Analysis: Faltering defense hurt Sandusky

The defense ended with a whimper Wednesday in Jerry Sandusky's trial in Bellefonte, Pa.
At one point, it appeared as though the defense might get some traction. It called investigators to the stand who testified that they never informed victims about complaints from other victims. Recordings of the investigators' own interviews revealed that the victims had been coached.
It would likely not seem unreasonable to most jurors for police to let victims know that there are others. Jurors may even have little problem with letting victims know some specifics of other complaints.
Jurors, however, should wonder why investigators tried to hide their methods of making alleged victims comfortable speaking. They should ask themselves what else the investigators told those men and didn't report. The defense scored some real points when the state's investigators denied techniques that they were revealed to have used in documents that were turned over to the defense before trial.
Other than that, the defense case was marked by missteps and largely tangential testimony.
There was a parade of witnesses who knew Sandusky as a neighbor, a colleague or a mentor. The rules of evidence place strict limits on the testimony of character witnesses. Formally, they are limited to addressing the defendant's reputation for honesty, peacefulness and law-abiding character. In introducing character witnesses, lawyers are able to describe how the witnesses know the defendant.
That process of introduction gave Sandusky's lawyers an opportunity to tell the jury that his colleagues never knew of any misconduct with children. It also gave those he mentored an opportunity to tell the jury that he hadn't molested them as children.
Character witnesses don't hurt the defense, but they can add only so much. The fact that there are people who never saw Sandusky do anything inappropriate isn't inconsistent with his guilt.

And there were missteps during the defense case that really hurt.
Dr. Jonathan Dranov ? who met with one of the prosecution's star witnesses, former assistant football coach Michael McQueary, after an alleged incident in a Penn State University locker room shower ? had been expected to undermine McQueary's account. But the opposite happened. Dranov bolstered McQueary's testimony, describing him as having been very upset in describing the incident.
More damning, however, was that Dranov testified that McQueary reported hearing "sexual sounds" in the shower that night. At a preliminary hearing in December in a separate but related perjury case against two for top university officials, a lawyer cross-examining McQueary got him to admit that he heard two, at most three, "slapping" sounds. The defense's cross-examination of McQueary last week didn't confine his testimony to two or three slaps, and its examination of Dranov left the jury with testimony that "sexual sounds" were heard that night.
Finally, in calling an expert who testified that Sandusky had a personality disorder that could explain away some of his behavior, the defense had to let a prosecution expert examine Sandusky.
The defense expert's testimony was worthless at best and harmful at worst ? he testified that he himself may suffer from the disorder, a disorder that he was unable to differentiate from the personalities many people have seen in their friends and colleagues.
By contrast, the prosecution's expert ? a very sharp, impeccably credentialed, well-spoken psychiatrist ? discounted the defense expert's theory and concluded that Sandusky's personality profile was consistent with a psychosexual disorder, with a focus on adolescents.
In exchange for raising the possibility of "histrionic personality disorder," the defense got a prosecution expert who said the defendant fits the profile of a pedophile, in other words. This was not a good trade.
The defense had quite the task facing it when it started presenting its case. It doesn't seem to have raised a reasonable doubt. On the whole, it seems to have aided the prosecution.

'End of the World' for Carell: What would you do?

Most apocalypse movies begin after the nuclear bomb has gone off or the zombies have taken over. But the upcoming film ?Seeking a Friend for the End of the World? takes place in the weeks prior to civilization?s asteroid-caused destruction,?delivering its characters a big question: How best to live out those final days?
Upon hearing the news, single insurance salesman Dodge (Steve Carell)?chooses to ignore his impending doom, dutifully returning to work the next morning.
When his friends invite him to?partake in drunken, drug-fueled orgies for the remainder of their?time on Earth, Dodge jokes with his neighbor,?the emotionally fragile Penny (Keira Knightley),?that he?ll instead be using his final days to ?(catch) up on some me time, find God, maybe move around some chairs.?

Rather than repositioning chairs,?he befriends Penny,?and together they?take a cross-country road trip to reconnect with?family and old sweethearts.?As the end draws ever near, they find out along the way that all they?ve ever really needed in life is a confidant, a friend, a lover.
Although the premise sounds a little too rom-com twee, the film, which premiered at the Los Angeles Film Festival earlier this month, looks to have escaped the corny by questioning what humans actually long for in end times.
If the?apocalypse were truly nigh,?Carell wryly?admitted,??I would probably eat a lot of junk food. I?d start with Chinese food, segue into pizza, cupcakes, brownies. I?d do, kind of, a sweet-savory roller coaster and that might take me through a couple of weeks until my doom.?
Knightley took a more happy-go-lucky approach, saying, ?I?d go (on a road trip) with my closest friends and family. I?d take Supertramp, and I?d take Talking Heads. I?d want really upbeat, like, you know, dance-along music.?
The question isn?t all that far-fetched though. On Sunday, the New Zealand Herald reported that?a man named?Frank (who declined to give his surname) was diagnosed with cancer and given a few months to live?in May 2010. After amassing a debt of about $64,000?U.S. dollars?from lavish spending sprees with his wife Wilma, including trips to Australia and Fiji, the couple?found out that Frank had been misdiagnosed and wasn't terminally ill.
Perhaps Knightley?s proposed dance-music road trip was a bit more prudent.
"Seeking a Friend" hits theaters June 22. Check out the trailer above.
